Scope of Services
1.1 The design agency, referred to as “Union Design” throughout these terms and conditions, agrees to provide graphic design and website services as outlined in the project proposal or agreement between Union Design and the client.
1.2 Any additional services or changes requested by the client beyond the scope of the original agreement will be considered separate projects and may require additional time and cost. Union Design will provide an estimate for the timeline and pricing of such changes, which will be subject to client approval.
Deposits and Payments
2.1 A deposit of 70% of the total project cost is required before work can commence. This deposit is non-refundable.
2.2 The remaining balance of the project cost is payable on completion of the project and prior to the release of the final work.
2.3 Retainers and monthly campaigns are payable on the 1st of every month in advance of the completion of work.
Ownership and Usage Rights
3.1 Union Design retains ownership of all original design files, including but not limited to editable design files unless ownership is transferred as per section 3.2.
3.2 If the client wishes to obtain ownership of the editable design files, a separate agreement and billable arrangement must be made between Union Design and the client.
3.3 Upon full payment and subject to the agreement mentioned in 3.2, Union Design grants the client a non-exclusive, perpetual license to use the final design work for its intended purpose.
Content Submission
4.1 The client agrees to provide all necessary content, materials, and information required for the project within 30 days of the project’s commencement.
4.2 If the client fails to provide the required content within the specified timeframe, Union Design reserves the right to archive the project. In such cases, a reactivation fee of R2500.00 will apply to resume the project.
Maximum Rounds of Edits
5.1 The client is entitled to a maximum of two rounds of edits for graphic design and website projects.
5.2 All requested changes must be submitted together per round, and no piecemeal changes will be accepted.
5.3 After the two rounds of edits have been completed, any additional changes requested by the client will be subject to re-quoting and billed separately.
Hourly Rates
6.1 The hourly rate for graphic design & web services is R750 per hour.
6.2 For retainer clients, the hourly rate for graphic design and web services is R600 per hour.
Confidentiality
7.1 Union Design agrees to treat all client information, materials, and project details as confidential and will not disclose them to third parties without the client’s consent, except as required by law.
Client Approval and Revisions
8.1 The client is responsible for reviewing and approving all design concepts, drafts, and final work. Union Design will provide reasonable opportunities for the client to request revisions and modifications during the design process.
8.2 Major revisions or changes that deviate from the originally agreed concept may be subject to additional charges and timeframes. Union Design will communicate any such changes and associated costs to the client for approval.
Project Timelines
9.1 Union Design will make reasonable efforts to complete the project within the agreed timeframe. However, unforeseen circumstances, delays in client feedback, or changes requested by the client may extend the project timeline. Union Design will inform the client of any delays and adjust the timeline accordingly.
Limitation of Liability
10.1 Union Design will not be liable for any indirect, incidental, or consequential damages arising out of or in connection with the design services provided.
10.2 The maximum liability of Union Design, whether in contract, tort, or otherwise, shall be limited to the total amount paid by the client for the specific project in question.
Governing Law and Jurisdiction
11.1 These terms and conditions shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of South Africa.
